Iconic Delaware Cases: Rural/Metro
Please join us on Wednesday, March 27, 11:00 a.m. to 12:30 p.m. for “Iconic Delaware Cases: Rural/Metro.” Emiliano Catan (Co-Director, Institute for Corporate Governance & Finance) will moderate a panel that will focus on the Rural/Metro litigation tackling questions such as What makes Rural/Metro an iconic decision? What were the key doctrinal innovations in Rural/Metro? How has the case changed the way in which boards approach the engagement and oversight of sell-side financial advisors. The panel will include Hon. J. Travis Laster (Vice Chancellor, Delaware Court of Chancery), who rendered the Chancery Court decision; Joel Friedlander (Friedlander & Gorris), who represented the plaintiffs; Robert Knauss (Warburg Pincus), who, at the time the case was decided, was General Counsel of Warburg Pincus, the acquirer of Rural; and Alan Stone (Millbank LLP), who represented Defendant RBC Capital Markets, LLC.
