What were the key doctrinal innovations in Rural/Metro? How has the case changed the way in which boards approach the engagement and oversight of sell-side financial advisors. The panel will include Hon. J. Travis Laster (Vice Chancellor, Delaware Court of Chancery), who rendered the Chancery Court decision; Joel Friedlander (Friedlander & Gorris), who represented the plaintiffs; Robert Knauss (Warburg Pincus), who, at the time the case was decided, was General Counsel of Warburg Pincus, the acquirer of Rural; and Alan Stone (Millbank LLP), who represented Defendant RBC Capital Markets, LLC.
